End-User License Agreement (EULA) for SmartAccuPay.

PLEASE READ THIS END-USER LICENSE AGREEMENT (“EULA”) CAREFULLY BEFORE USING SmartAccuPay SOFTWARE. BY INSTALLING OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO THE TERMS OF THIS EULA, DO NOT INSTALL OR USE THE SOFTWARE.

1.DEFINITIONS

  • a) "SmartAccuPay" refers to the software application developed and owned by Rovuk Inc.
  • b) "Software" refers to the SmartAccuPay application, including any updates or upgrades provided by SmartAccuPay.
  • c) "Licensee" refers to the individual or organization that has obtained a valid license to use the Software.

2.LICENSE GRANT

Subject to the terms and conditions of this EULA, Rovuk Inc. grants Licensee a non-exclusive, non-transferable, limited license to install and use the SmartAccuPay Software on compatible devices owned or controlled by Licensee for the sole purpose of managing accounts payable processes within Licensee’s business operations.

3.INTELLECTUAL PROPERTY RIGHTS

  • a) SmartAccuPay retains all rights, title, and interest in and to the Software, including all intellectual property rights. Licensee acknowledges that the Software is protected by copyright and other laws.
  • b) Licensee agrees not to modify, reverse engineer, decompile, disassemble, or create derivative works based on the Software, except to the extent permitted by applicable law.
  • c) Licensee shall not remove, alter, or obscure any proprietary notices, labels, or markings on the Software.

4.LIMITATIONS ON USE

  • a) Licensee shall use the Software solely for its internal business purposes in accordance with the terms of this EULA.
  • b) Licensee shall not sublicense, distribute, lease, rent, loan, or otherwise transfer the Software to any third party without the prior written consent of Rovuk Inc..
  • c) Licensee shall not use the Software to engage in any illegal, fraudulent, or unauthorized activities.
  • d) Licensee shall comply with all applicable laws, regulations, and third-party rights when using the Software.

5.SUPPORT AND UPDATES

  • a) Rovuk Inc. may, at its discretion, provide Licensee with technical support for the Software during the term of this EULA. The terms and conditions of such support shall be determined separately and may be subject to additional fees.
  • b) SmartAccuPay may release updates, bug fixes, or new versions of the Software from time to time. Licensee agrees to install and use the latest version of the Software provided by SmartAccuPay to ensure optimal performance and access to new features.

6.PRIVACY AND DATA SECURITY

  • a) Licensee acknowledges and agrees that SmartAccuPay may collect and process certain personal data and information as described in the Privacy Policy. Licensee hereby grants SmartAccuPay the right to collect, use, store, and process such data and information in accordance with the Privacy Policy.
  • b) Licensee shall implement appropriate security measures to protect any data or information transmitted or stored using the Software. Licensee shall be solely responsible for maintaining the confidentiality of any login credentials and for all activities conducted using Licensee's account.

7.DISCLAIMER OF WARRANTIES

  • THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SmartAccuPay DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.LIMITATION OF LIABILITY

  • TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SmartAccuPay BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THE SOFTWARE, EVEN IF SmartAccuPay HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SmartAccuPay'S AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THIS EULA SHALL NOT EXCEED THE AMOUNTS PAID BY LICENSEE FOR THE SOFTWARE.

9.TERM AND TERMINATION

  • a) This EULA shall remain in effect until terminated by either party. Licensee may terminate this EULA by ceasing to use the Software and uninstalling it from all devices.
  • b) SmartAccuPay may terminate this EULA immediately upon notice if Licensee breaches any of its terms. Upon termination, Licensee shall cease all use of the Software and destroy all copies of the Software in its possession or control.

10.GENERAL PROVISIONS

  • a) This EULA constitutes the entire agreement between Licensee and SmartAccuPay concerning the subject matter hereof and supersedes all prior or contemporaneous oral or written agreements and understandings.
  • b) This EULA shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any legal action or proceeding arising out of or relating to this EULA shall be exclusively brought in the courts of [Jurisdiction].
  • c) If any provision of this EULA is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
  • d) The failure of SmartAccuPay to enforce any right or provision of this EULA shall not constitute a waiver of such right or provision.
  • By installing or using the SmartAccuPay software, Licensee acknowledges that they have read and understood this EULA, and agree to be bound by its terms and conditions.
